Shopify is not responsible for any aspect of transactions between you and MERITBELLE, including any injury, damage, loss, or dispute arising from your purchase or use of products or services purchased from MERITBELLE.

To the extent permitted by applicable law, you agree that Shopify and its affiliates are not responsible for claims, damages, or liabilities arising from or relating to transactions between you and MERITBELLE.

If we cancel an order after payment has been made, we will refund the amount paid for the canceled portion of the order.

4. Respond truthfully to questions or instructions intended to determine whether an interaction is being conducted by a human or a computer; and
5. Not bypass or evade measures designed to block, limit, modify, or control whether Agents access, use, or interact with the Services.

We may terminate or suspend this agreement or your access to the Services, or any portion of them, at our discretion where permitted by applicable law.

You remain responsible for all amounts owed through the effective date of termination.

The following sections will survive termination to the extent applicable: Intellectual Property, Comments and User Content, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

WE DO NOT WARRANT OR REPRESENT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN IMPLIED WARRANTIES, SO SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

SECTION 17 – LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERITBELLE AND ITS AFFILIATES, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND SHOPIFY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, SAVINGS, DATA, BUSINESS OPPORTUNITIES, OR REPLACEMENT COSTS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY PRODUCT PURCHASED THROUGH THE SERVICES.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MERITBELLE FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

Some states do not allow limitations on certain damages or liabilities. Accordingly, some of these limitations may not apply to you.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

SECTION 18 – INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless MERITBELLE, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

1. Your violation of these Terms or any policy incorporated into them;
2. Your violation of applicable law or the rights of a third party; or
3. Your access to or use of the Services.

We will provide notice of an indemnifiable claim when reasonably practicable. A failure to provide prompt notice will not relieve you of your obligations except to the extent that the delay materially prejudices your defense.

We may control the defense and settlement of the claim at your expense, including selecting counsel. We will not settle a claim that imposes non-monetary obligations on you without your consent, which will not be unreasonably withheld.

You agree to reasonably cooperate with the defense of any indemnifiable claim.
